These Terms and Conditions (“Terms”) govern your access to and use of https://nextcllc.com and the services offered by NexTC LLC (“NexTC,” “we,” “us,” or “our”).

By accessing the website, submitting a form, scheduling a consultation, or using our services, you agree to these Terms. If you do not agree, do not use the website or services.

1. About NexTC

NexTC LLC provides administrative transaction coordination and related support services for real estate professionals and other authorized clients.

Our services may include:

  • Contract-to-close transaction coordination

  • Listing and buyer transaction coordination

  • File setup and document organization

  • Deadline and contingency tracking

  • Communication and follow-up with transaction participants

  • Document and disclosure tracking

  • Post-closing administrative support

  • Loan-servicing setup assistance

  • Other agreed administrative services

The exact scope of work will be established through a separate service agreement, engagement agreement, order form, or written confirmation.

2. No Brokerage or Professional Advice

Unless expressly stated in a separate written agreement, NexTC acts as an administrative transaction coordinator and does not serve as your:

  • Real estate broker or agent

  • Attorney

  • Accountant

  • Tax adviser

  • Financial adviser

  • Lender

  • Escrow holder

  • Title company

  • Insurance adviser

Information provided through the website or our services is for general administrative and informational purposes. It is not legal, tax, financial, brokerage, lending, insurance, or investment advice.

Clients remain responsible for obtaining guidance from appropriately licensed professionals and for making all decisions relating to their transactions.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information

  • Supply all documents reasonably required to perform the requested services

  • Review documents and communications before applicable deadlines

  • Inform NexTC promptly of changes affecting a transaction

  • Maintain all licenses, authorizations, and approvals required for your activities

  • Ensure that instructions provided to NexTC are lawful and properly authorized

  • Make final decisions regarding contracts, negotiations, disclosures, and transactions

  • Comply with applicable laws, professional requirements, and brokerage policies

NexTC is not responsible for delays or errors caused by incomplete, inaccurate, late, or unauthorized information supplied by a client or third party.

4. Services and Availability

Descriptions and prices displayed on the website are for general informational purposes and may change. Website content does not guarantee availability, eligibility, acceptance of an engagement, or a particular transaction outcome.

Services begin only after NexTC accepts the engagement and any required agreement, information, authorization, or payment has been received.

We may decline or discontinue an engagement when permitted by an applicable agreement or law.

5. Fees, Payments, Cancellations, and Refunds

Applicable fees, payment schedules, cancellation provisions, and refund terms will be provided in the relevant service agreement, invoice, checkout page, or written confirmation.

Unless otherwise stated in writing:

  • Fees are based on the services and scope selected

  • Additional or unusually complex work may require additional charges

  • Clients are responsible for approved third-party costs

  • Amounts already earned or associated with completed work may be nonrefundable

  • Failure of a transaction to close does not automatically entitle the client to a refund

If these Terms conflict with a signed service agreement regarding fees or services, the signed service agreement will control.

6. Electronic Communications and Signatures

You consent to receive agreements, notices, disclosures, invoices, and other records electronically where permitted by law.

Electronic signatures and electronic records may have the same legal effect as paper documents and handwritten signatures, subject to applicable law.

7. SMS Messaging Terms

Program Description

NexTC offers an SMS messaging program for individuals who provide their telephone number and affirmatively consent to receive messages.

Depending on the consent selected, messages may include transactional communications, marketing communications, or both.

Transactional Messages

Transactional messages may include:

  • Responses to inquiries

  • Appointment confirmations and reminders

  • Client onboarding messages

  • Transaction status updates

  • Deadline reminders

  • Document requests

  • Account and service notifications

  • Communications concerning requested services

Marketing Messages

Marketing messages may include:

  • Service announcements

  • Promotional offers

  • Educational resources

  • Follow-up messages

  • Other marketing communications from NexTC

Marketing consent must be obtained separately when required. Consent to receive marketing messages is not a condition of purchasing goods or services.

How Users Opt In

You may opt in by:

  • Selecting an unchecked SMS consent box on a NexTC website form

  • Submitting a NexTC booking, contact, inquiry, or intake form containing the required disclosure

  • Completing a written or electronic agreement containing SMS consent

  • Providing consent through another documented method permitted by law

Submitting a phone number by itself does not necessarily constitute consent to receive recurring marketing messages.

Message Frequency

Message frequency varies based on your interactions, transaction activity, appointments, and communication preferences. Marketing messages may be recurring if you expressly consent to receive them.

Charges

Message and data rates may apply. Contact your wireless carrier for information about your messaging or data plan.

Opting Out

Reply STOP to any NexTC text message to opt out. You may receive one final confirmation message. After opting out, you will no longer receive messages covered by that request unless you separately provide consent again.

Other recognized opt-out words may also be honored where required by law.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Message availability and delivery depend on your carrier and network service and are not guaranteed.

Eligibility

You must be at least 18 years old and the authorized user of the telephone number provided to enroll in NexTC’s SMS program.

Supported Carriers

The SMS program may not be available through all carriers, devices, or locations.

SMS consent and phone numbers collected for SMS communications will not be shared with third parties or affiliates for their independent marketing or promotional purposes.

8. Email Marketing

If you subscribe to marketing emails, you may unsubscribe using the link included in the message. Administrative and transactional emails may still be sent when necessary to respond to a request, provide a service, or administer an existing business relationship.

9. Acceptable Website Use

You agree not to:

  • Use the website for unlawful or fraudulent activity

  • Interfere with the website’s operation or security

  • Attempt unauthorized access to systems, accounts, or information

  • Introduce malware or harmful code

  • Scrape or collect information through unauthorized automated means

NexTC does not warrant that:

  • The website will always be available, uninterrupted, or error-free

  • All content will be complete, current, or free from inaccuracies

  • A transaction will close or produce a particular result

  • Every third party will meet its obligations

  • Administrative coordination will replace review by licensed professionals

Nothing in these Terms excludes warranties that cannot lawfully be excluded.

13. Limitation of Liability

To the maximum extent permitted by law, NexTC and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost opportunities, lost data, transaction delays, or business interruption arising from the website or services.

Where liability cannot be excluded, NexTC’s total liability will be limited to the amount paid to NexTC for the specific service giving rise to the claim during the six months preceding the event, unless a different limitation is required by law or stated in a signed agreement.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless NexTC and its owners, officers, employees, contractors, and agents from claims, damages, liabilities, costs, and expenses arising from:

  • Your unlawful or unauthorized use of the website or services

  • Information or instructions you provide

  • Your breach of these Terms

  • Your violation of another person’s rights

  • Your failure to comply with applicable laws or professional obligations

15. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.

Any dispute will be brought in a court of competent jurisdiction located in Cass County, Missouri, unless the parties agree otherwise in writing or applicable law requires another venue.

A separate signed service agreement may contain additional dispute-resolution requirements that control the applicable engagement.

16. Changes to These Terms

We may update these Terms periodically. Changes will be posted on this page with a revised “Last Updated” date.

Your continued use of the website after revised Terms become effective constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will remain effective.

18. Entire Agreement

These Terms and the Privacy Policy govern general website use. A signed service agreement may establish additional terms for a particular engagement.

If a signed service agreement conflicts with these Terms regarding the services covered by that agreement, the signed agreement will control.
